SLM Solutions Group AG holds virtual Annual General Meeting 2022

Lübeck, Germany – May 18, 2022. SLM Solutions Group AG ("SLM Solutions", "SLM" or the "Company"), a technology pioneer in the field of additive manufacturing, held its Annual General Meeting (AGM) 2022 today, Tuesday, as a virtual meeting. At the AGM 2022, 64.60% of voting capital was represented.

The Management Board made a detailed presentation to shareholders of the Company outlining the various initiatives of the Company that were undertaken during the financial year 2021 while also updating shareholders on the strategic progress and direction of the Company.

Acting members of the Management Board as well as the Supervisory Board were granted formal discharge at the AGM 2022, for the 2021 fiscal year. Based on the proposal of the Supervisory Board, KPMG AG Wirtschaftsprüfungsgesellschaft, Hamburg was once again elected as the auditor of the annual financial statements and consolidated financial statements for the 2022 fiscal year. The remuneration report for the 2021 fiscal year was also approved at the AGM 2022.

Additionally, shareholders of SLM Solutions Group AG approved the revocation of the existing Authorized Capital 2021 and the creation of a new Authorized Capital 2022 at the AGM 2022. The creation of the new Authorized Capital 2022 provides SLM Solutions with valuable flexibility in raising equity capital. This also enables the Company, whenever necessary and at short notice, to raise capital while excluding subscription rights and remain within the legally permissible scope set forth by shareholders. Given the positive demand environment for additive manufacturing as well as the strong anticipated growth trajectory of the Company, the Management Board along with the Supervisory Board consider it prudent to maintain this financial flexibility.

Lastly, the resolution granting a new authorization to issue conditional capital was not approved.
